Welcome to Othersyders.online, operated by The Othersyders Company ("Othersyders," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Othersyders.online, including its websites, stores, catalogs, services, membership programs, communities, digital products, physical products, licensing programs, submissions, and other offerings made available through the site.

By accessing, browsing, purchasing from, submitting content to, registering for, subscribing to, or otherwise using Othersyders.online, you acknowledge that you have read and agree to these Terms.

If you do not agree to these Terms, do not use the site or purchase its products or services.

1. ABOUT OTHERSYDERS

Othersyders is a creative and commercial platform featuring original designs, creative services, digital products, recipes, music, merchandise, licensing opportunities, custom design work, community features, and third-party or independent offerings that may be made available through the Othersyders Mall.

The site may include, among other things:

Othersyders may add, remove, modify, suspend, or discontinue portions of the site or its offerings at any time.

The website is also periodically updated and may contain features that are under construction, temporarily unavailable, experimental, or subject to change.

2. ELIGIBILITY

You must have the legal capacity to enter into a binding agreement in your jurisdiction to make purchases or enter contracts through Othersyders.

If you are using Othersyders on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for complying with all laws applicable to your use of the site, including laws relating to intellectual property, commerce, advertising, taxation, licensing, food, music, consumer products, and any regulated goods or services applicable to your activities.

3. ACCOUNTS AND USER INFORMATION

Certain features may require you to provide information such as your name, email address, contact information, business information, payment information, or other information necessary to complete a transaction or provide a service.

You agree to provide information that is accurate, current, and complete.

You are responsible for maintaining the confidentiality of any account credentials or access information associated with your use of the site.

4. PURCHASES AND ORDERS

When you purchase a product or service through Othersyders, you agree to pay the price displayed at the time of purchase, together with any applicable taxes, fees, shipping charges, or other amounts disclosed during checkout.

A product appearing on the site does not guarantee that it will remain available.

Othersyders reserves the right to:

Correct pricing or description errors;
Cancel or refuse an order;
Limit quantities;
Restrict purchases;
Correct inaccurate product information;
Modify products or services;
Discontinue products or services; and
Refund payments where an order cannot reasonably be fulfilled.

An order is not necessarily accepted merely because you submit payment. Acceptance may depend upon confirmation, availability, eligibility, or fulfillment requirements applicable to the particular product or service.

5. DIGITAL PRODUCTS

Digital products may include recipes, design files, written materials, music, audio, images, documents, downloads, instructional materials, or other electronically delivered content.

Unless expressly stated otherwise, purchasing a digital product does not transfer ownership of the underlying intellectual property.

Your purchase gives you only the rights expressly granted with that product.

You may not reproduce, redistribute, resell, upload, publish, sublicense, or commercially exploit a digital product beyond the rights specifically granted to you.

Where a separate license accompanies a digital product, the license controls the permitted use of that product.

6. RECIPE PRODUCTS AND RECIPE LICENSES

Othersyders may sell recipes for personal use and/or commercial use.

A personal-use purchase permits the purchaser to use the recipe for personal cooking and related private purposes, subject to the specific product terms.

A commercial-use license permits commercial use only to the extent expressly stated in the applicable product listing, license, or agreement.

Unless expressly authorized, purchasing a recipe does not transfer ownership of the recipe or its underlying intellectual property.

Commercial licensees may not claim ownership of Othersyders' original recipe materials merely because they purchased a license.

Where a recipe license contains additional restrictions, royalties, attribution requirements, exclusivity provisions, or other terms, those terms control.

7. BLACK LABEL LICENSING

Black Label designs are governed by the applicable Black Label Worldwide Commercial Design Licensing & Royalty Agreement.

The Black Label program involves commercial licensing rather than transfer of ownership of the underlying intellectual property.

Unless the applicable agreement states otherwise, Black Label licenses may provide worldwide commercial rights within the approved scope, while ownership of the underlying design remains with the Licensor.

The Black Label program may involve:

A one-time initial license purchase;
Commercial manufacturing rights;
Marketing and sales rights;
Worldwide territory;
Royalty obligations;
Quarterly reporting;
Recordkeeping requirements;
Audit rights;
Restrictions on sublicensing and assignment;
Exclusivity provisions;
Termination provisions; and
Other obligations established by the applicable licensing agreement.

The current Black Label materials expressly state that the standard royalty structure is 5% of Gross Quarterly Revenue generated from Licensed Products, subject to the definitions and provisions of the applicable agreement.

If there is a conflict between these general Terms and a fully executed or otherwise applicable Black Label licensing agreement, the specific Black Label agreement controls with respect to the licensed design.

8. SICI DESIGN WORKS

Sici Design Works is a design catalog offering designs for commercial and creative applications.

SDW offerings may be subject to separate membership, licensing, subscription, or product-specific terms.

Purchasing access to SDW does not automatically transfer ownership of every design contained within the catalog.

You may use designs only according to the license associated with the applicable SDW product or program.

You may not represent an SDW design as independently created by you when the applicable license does not transfer ownership.

9. SICI CUSTOMS

Sici Customs provides exclusive custom creative and design work.

Custom projects may include product concepts, fashion concepts, branding, graphics, recipes, music-related work, visual systems, and other creative projects within the capabilities and agreed scope of the service.

Custom projects are individually evaluated.

Submission of a request does not guarantee acceptance.

Pricing, scope, delivery schedule, revisions, ownership, licensing, exclusivity, and other project-specific terms may be established in a separate agreement, invoice, proposal, or written confirmation.

Once custom design work has begun, payments may be non-refundable as stated in the applicable project terms.

Where a separate custom-design agreement exists, that agreement controls ownership and usage rights.

10. SICI SERVICES

Othersyders may offer creative services including, but not limited to:

Music production;
Song creation;
Ghostwriting;
Fashion design;
Custom design;
Scriptwriting;
Creative consultation;
Tarot or entertainment-oriented services;
Audio services;
Visual design; and
Other creative services.

Each service may have its own requirements, limitations, pricing, delivery schedule, revision policy, and ownership provisions.

A service request does not guarantee acceptance.

Othersyders may decline a project based on availability, technical limitations, scope, budget, safety, legality, creative considerations, or other legitimate business reasons.

11. SUBMIT YOUR VOICE

Submit Your Voice is a request-based music production service.

Submission of a request does not guarantee acceptance. Payment is generally expected only after a project has been accepted and the applicable terms have been established.

Customers may receive a completed digital song and any additional deliverables expressly included in their project.

Revision limits and production timelines may vary according to the project.

The current service provides two revisions for accepted projects, with additional revisions potentially subject to additional fees.

Because AI-assisted production may be used, the finished vocal performance may differ from the submitted recording in pitch, tone, delivery, processing, or other characteristics. Exact duplication of the original recording is not guaranteed.

Customers may provide their own lyrics and retain rights to their original lyrics, subject to the applicable project agreement.

Where Othersyders creates lyrics specifically for a customer, ownership and usage rights will be determined by the applicable service agreement.

Customers may commercially use a completed song only to the extent provided by the applicable service terms or written agreement.

Customers may not request unauthorized imitation, cloning, or impersonation of another person's protected identity, voice, or likeness.

12. USER SUBMISSIONS

If you submit text, photographs, audio, video, artwork, music, ideas, concepts, designs, comments, reviews, applications, or other material to Othersyders, you represent that:

You have the right to submit the material;
Your submission does not knowingly infringe another person's intellectual-property rights;
You have obtained any permissions necessary for identifiable people appearing in the submission;
Your submission does not knowingly violate applicable law; and
Your submission does not contain malicious software or other harmful material.

You retain ownership of material you own and submit, unless you separately transfer rights through an applicable agreement.

However, by submitting material to a feature that requires Othersyders to use or display that material, you grant Othersyders the permissions reasonably necessary to operate that feature.

Additional submission-specific terms may apply.

13. ADVERTISING AND PROMOTIONAL USE

Certain services may involve promotional use of completed work.

For example, Submit Your Voice currently states that accepted finished songs may be used by Othersyders for advertising and may be sold through Othersyders platforms if Othersyders elects to do so.

Where a service involves promotional use, the customer agrees that the specific service terms disclosed before or during acceptance govern that promotional use.

Othersyders does not guarantee that any submitted work will be promoted, advertised, published, or sold.

14. INTELLECTUAL PROPERTY

Unless expressly stated otherwise:

Othersyders owns or controls the rights to its original site content;
Othersyders retains ownership of its original designs;
Othersyders retains ownership of its original written materials;
Othersyders retains ownership of its trademarks and branding;
Othersyders retains rights in its original artwork and visual materials;
Purchasing a license does not automatically transfer ownership;
Purchasing access to a catalog does not transfer ownership of the catalog; and
Rights not expressly granted remain reserved.

You may not copy, scrape, reproduce, republish, redistribute, sell, sublicense, reverse engineer, or create unauthorized derivative works from Othersyders intellectual property.

You may not remove copyright notices, trademarks, watermarks, licensing notices, or other ownership indicators.

15. TRADEMARKS AND BRANDING

"Othersyders," "The Othersyders Company," "Sici Design Works," "Sici Customs," "Sici Supreme," and other names, logos, marks, titles, graphics, and branding appearing on the site may constitute trademarks, trade names, service marks, or proprietary branding.

You may not use Othersyders branding in a manner suggesting sponsorship, endorsement, partnership, ownership, or affiliation without written authorization.

16. AI-GENERATED AND AI-ASSISTED CONTENT

Othersyders may use artificial intelligence and machine-learning tools in the creation, enhancement, development, editing, or production of certain creative works.

AI-assisted creation may be used in:

Images;
Designs;
Music;
Audio;
Writing;
Concepts;
Recipes;
Product concepts;
Marketing materials; and
Other creative outputs.

AI-generated or AI-assisted material may contain limitations, inaccuracies, unexpected similarities, or other characteristics associated with generative technologies.

Unless expressly stated otherwise, Othersyders does not guarantee that an AI-assisted work is eligible for exclusive copyright protection in every jurisdiction.

Where intellectual-property ownership or exclusivity is material to a transaction, the applicable written agreement controls.

17. PRODUCT CONCEPTS AND DESIGN REPRESENTATIONS

Some products displayed on Othersyders may be conceptual designs, prototypes, artistic renderings, or proposed products rather than currently manufactured products.

A product image or design concept does not necessarily represent an existing manufactured product, engineering specification, safety certification, or commercially available item.

Unless expressly stated otherwise, visual representations should not be interpreted as guarantees that a product exists, can be manufactured exactly as depicted, or satisfies any particular regulatory or technical standard.

18. THIRD-PARTY SERVICES AND LINKS

Othersyders may link to or incorporate third-party platforms, payment processors, social-media services, forms, marketplaces, applications, manufacturers, hosting providers, or other services.

Third-party services operate under their own terms and privacy policies.

Othersyders is not responsible for the availability, security, accuracy, policies, or practices of third-party services.

Your use of a third-party service is at your own risk.

19. OTHERSYDERS MALL

The Othersyders Mall may feature products, music, recipes, merchandise, services, or other offerings.

Othersyders may also permit third parties or independent creators to apply for participation in the Mall.

Acceptance into the Mall does not constitute an endorsement, guarantee, partnership, agency relationship, or representation that a participating seller or creator is qualified, licensed, insured, or otherwise suitable for a particular purpose.

Unless expressly stated otherwise, transactions between customers and third-party Mall participants may be governed by the terms presented by the applicable seller or provider.

Othersyders reserves the right to reject, remove, suspend, or limit any Mall participant or offering.

20. COMMUNITY FEATURES

If Othersyders provides forums, groups, chat rooms, comments, networking areas, or other community features, users must conduct themselves lawfully and respectfully.

You may not use community features to:

Harass or threaten others;
Promote violence;
Commit fraud;
Impersonate another person;
Distribute malware;
Spam;
Conduct unauthorized commercial activity;
Infringe intellectual property;
Publish another person's private information without authorization;
Facilitate illegal activity;
Upload unlawful material; or
Circumvent site security or access controls.

Othersyders may remove content, restrict access, suspend accounts, or terminate participation when necessary to protect the site, its users, its business, or others.

21. PROHIBITED USES

You may not use Othersyders.online to:

Violate any applicable law;
Commit fraud or deception;
Infringe intellectual-property rights;
Circumvent licensing restrictions;
Misrepresent ownership of Othersyders designs;
Resell unauthorized digital products;
Scrape or systematically copy site content;
Attempt unauthorized access;
Introduce malicious code;
Interfere with site operations;
Abuse payment systems;
Circumvent purchase restrictions;
Create fraudulent accounts;
Impersonate Othersyders or its personnel;
Exploit community features for harassment or abuse; or
Use the site in a manner that could materially harm Othersyders or its users.

22. FOOD AND RECIPE DISCLAIMER

Recipes are provided for informational and culinary purposes.

You are responsible for determining whether ingredients are appropriate for you or anyone consuming the resulting food.

Othersyders does not guarantee that a recipe will produce a particular result in every kitchen.

Cooking involves inherent risks, including burns, cuts, choking, allergic reactions, foodborne illness, and other hazards.

You are responsible for safe food handling, ingredient verification, cooking temperatures, equipment use, and compliance with applicable food-safety requirements.

Commercial users are independently responsible for obtaining any permits, licenses, inspections, certifications, insurance, labeling, allergen disclosures, and other requirements applicable to their food business.

23. CREATIVE AND ENTERTAINMENT SERVICES

Certain services offered through Othersyders may be creative, spiritual, entertainment-oriented, speculative, artistic, or subjective in nature.

Such services are not guarantees of future events, financial outcomes, medical outcomes, legal outcomes, relationship outcomes, or other real-world results.

Customers are responsible for exercising independent judgment.

Nothing provided through an entertainment-oriented or creative service constitutes legal, medical, financial, psychological, or other professional advice unless expressly provided by a properly qualified professional acting in that capacity.

24. NO GUARANTEE OF RESULTS

Othersyders does not guarantee that any product, design, service, recipe, business concept, music project, licensing opportunity, or other offering will generate revenue, customers, sales, popularity, business success, artistic success, or any particular outcome.

Examples of potential uses, business opportunities, revenue strategies, or commercial applications are illustrative and do not constitute promises of performance.

You are responsible for independently evaluating business opportunities and commercial risks.

25. PRICING, TAXES, AND PAYMENT

Prices displayed on the site are subject to change.

Unless otherwise stated, prices are listed in United States dollars.

You are responsible for applicable taxes, duties, import charges, payment-provider fees, or other charges imposed by your jurisdiction or transaction provider where applicable.

Subscription products, memberships, licenses, and recurring services may have additional terms governing billing, cancellation, renewal, or access.

26. REFUNDS AND CANCELLATIONS

Refund eligibility depends upon the type of product or service purchased and the applicable product-specific terms.

Custom creative work may become non-refundable once work has begun, consistent with the applicable service terms.

Black Label licenses are subject to the refund provisions of the applicable licensing agreement.

Subscription and membership cancellations may affect future billing but do not necessarily create a right to refund amounts already charged.

Nothing in this section limits any mandatory consumer rights that cannot legally be waived.

27. THIRD-PARTY MANUFACTURING AND COMMERCIAL USE

Where a license permits manufacturing or commercial exploitation, the licensee remains responsible for:

Product safety;
Manufacturing quality;
Regulatory compliance;
Labeling;
Packaging;
Advertising claims;
Consumer protection requirements;
Taxes;
Insurance;
Distribution;
Import/export requirements; and
All other obligations associated with bringing a product to market.

A design license does not constitute product certification, engineering certification, safety approval, or regulatory approval.

28. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTHERSYDERS.ONLINE AND ITS CONTENT, PRODUCTS, SERVICES, DIGITAL MATERIALS, DESIGNS, AND FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

OTHERSYDERS DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, AND SUITABILITY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

OTHERSYDERS DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS OPERATE WITHOUT INTERRUPTION, ERRORS, DEFECTS, SECURITY VULNERABILITIES, OR DOWNTIME.

29. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTHERSYDERS, THE OTHERSYDERS COMPANY, AND THEIR OWNERS, OPERATORS, CONTRACTORS, SERVICE PROVIDERS, AFFILIATES, LICENSORS, AND REPRESENTATIVES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SITE, PRODUCTS, SERVICES, CONTENT, LICENSES, OR TRANSACTIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF OTHERSYDERS ARISING FROM A PARTICULAR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE CUSTOMER TO OTHERSYDERS FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

This limitation does not apply to liability that cannot legally be limited or excluded.

30. INDEMNIFICATION

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Othersyders, The Othersyders Company, and their owners, operators, contractors, service providers, affiliates, licensors, and representatives from claims, liabilities, damages, losses, costs, and expenses arising from:

Your violation of these Terms;
Your misuse of the site;
Your violation of another person's rights;
Your unauthorized use of intellectual property;
Your commercial use of licensed materials;
Your products or services;
Your user submissions;
Your violation of applicable law; or
Your breach of a separate agreement.

31. COPYRIGHT COMPLAINTS

The allegedly infringing material;
Your ownership or authorization;
Your contact information; and
The basis for your complaint.

Othersyders may investigate and take action where appropriate.

32. TERMINATION AND SUSPENSION

Othersyders may suspend or terminate your access to the site, services, memberships, accounts, community features, or other offerings if:

You violate these Terms;
You violate a separate agreement;
You engage in fraud;
You misuse intellectual property;
You fail to pay amounts due;
You abuse community features;
You attempt unauthorized access;
Your conduct creates legal or security risks; or
Othersyders reasonably determines that suspension is necessary to protect the business, site, users, or third parties.

Termination does not automatically eliminate obligations that by their nature should survive termination.

Intellectual-property restrictions, payment obligations, confidentiality obligations, indemnification obligations, dispute provisions, and applicable licensing obligations may survive termination.

33. CHANGES TO THE SITE

Othersyders may modify these Terms from time to time.

Updated Terms will become effective when posted unless a later effective date is stated.

Your continued use of Othersyders after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

For major changes affecting existing contractual relationships, Othersyders may provide additional notice where required.

Any applicable Privacy Policy is incorporated into these Terms by reference.

Failure by Othersyders to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision later.

39. ENTIRE AGREEMENT

These Terms, together with applicable product descriptions, licensing agreements, service agreements, purchase records, policies, and other written agreements incorporated by reference, constitute the applicable agreement between you and Othersyders concerning your use of the relevant service or transaction.

A specialized written agreement controls over these general Terms when the two documents directly conflict concerning the specific subject governed by that specialized agreement.

40. GOVERNING LAW

Unless otherwise required by applicable law or provided by a specific written agreement, these Terms shall be governed by the laws of the State of Nevada, without regard to conflict-of-law principles.

Any dispute shall be resolved in a court or other forum having appropriate jurisdiction, subject to any mandatory consumer-protection law or dispute-resolution provision applicable to the particular transaction.

41. INTERNATIONAL USERS

Othersyders may make its products and services available to customers internationally.

International users are responsible for determining whether their purchase, use, importation, distribution, commercialization, or possession of any product or licensed material complies with the laws of their jurisdiction.

Othersyders does not represent that every product, service, design, license, or offering is lawful or suitable in every jurisdiction.

42. CHILDREN

Othersyders is not intended to be used by children in violation of applicable law.

You may not provide personal information belonging to a child in connection with the site unless you are legally authorized to do so.

43. PROFESSIONAL AND COMMERCIAL RESPONSIBILITY

If you use Othersyders materials commercially, you are responsible for independently determining whether the applicable license permits your intended use.

You are also responsible for:

Business registration;
Tax obligations;
Insurance;
Product safety;
Regulatory compliance;
Consumer disclosures;
Advertising compliance;
Intellectual-property clearance;

Any other obligations associated with your business.

Othersyders does not act as your attorney, accountant, insurance provider, regulatory consultant, manufacturer, or business partner merely because you purchase a product, license, or service.

44. NO AGENCY OR PARTNERSHIP

Except where expressly established through a separate written agreement, your use of Othersyders does not create a partnership, joint venture, employment relationship, franchise, agency relationship, or other fiduciary relationship between you and Othersyders.

A license to use a design does not create ownership of Othersyders or an agency relationship with Othersyders.

46. ACCEPTANCE

BY USING OTHERSYDERS.ONLINE, PURCHASING A PRODUCT OR SERVICE, SUBMITTING A REQUEST, ENTERING A LICENSING TRANSACTION, REGISTERING FOR A PROGRAM, OR OTHERWISE PARTICIPATING IN THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE HAD AN OPPORTUNITY TO REVIEW THESE TERMS AND AGREE TO BE BOUND BY THEM TO THE EXTENT PERMITTED BY LAW.
